IF YOU ARE AGREEING TO THESE TERMS OF USE ON BEHALF OF ANOTHER PERSON OR ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT PERSON OR ENTITY TO THESE TERMS.

IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MUST NOT ACCESS OR USE THE SERVICES AND MUST IMMEDIATELY DISCONTINUE ANY USE OF THE SERVICES.

1. Overview

These Ignis terms and conditions of use (the “Terms & Conditions” or the “Terms of Use” or the “Terms”) govern your access to and use of the IGNIS AI LLC (“Ignis,” “Company,” “we,” “our,” or “us”) online platform (the “Platform”) including assessments, content, analytics, and all related services offered at website www.ignisai.ai (collectively and together with the Platform, the “Services”).

By accessing or using the Platform, you:

Acknowledge that you have read and understand these Terms;
Agree to be bound by these Terms and our Privacy Policy and Cookie Policy, each incorporated by reference; and
Represent that you are at least 18 years of age.

If you do not agree to these Terms or do not meet these requirements, do not access or use the Platform.

2. Description of the Platform

The Platform provides organizations and individuals with a suite of AI-enabled assessment, evaluation, and skills-analysis services designed to support talent identification, development, and decision-making. Through the Platform, users may access proprietary assessments that measure behavioral attributes, cognitive tendencies, foundational and job-related skills, and other workplace-relevant capabilities. The Platform also generates predictive insights, profile summaries, and analytics based on user responses, which may be made available to the user and, where applicable, to employers, recruiting organizations, or other authorized organizations that have invited the user to participate in an assessment.

The Platform further supports administrative and reporting functionalities that enable organizations to review, compare, interpret, and manage assessment outcomes for their internal hiring, placement, training, or development purposes. All assessments, models, algorithms, scoring mechanisms, and resulting insights are powered by Ignis AI’s proprietary technologies. The Platform is provided solely as a tool to assist organizations and individuals in evaluating skills and competencies; it does not guarantee job performance, hiring outcomes, or any specific result.

3. AI Features; Incorporated AI User Policy

Certain components of the Services include artificial intelligence functionality (“AI Features”), including automated analytics, generative outputs, summaries, recommendations, and predictive insights. Your use of any AI Features is subject to the Ignis AI Policy, which is incorporated into these Terms by reference and forms part of your agreement with Ignis.

By submitting User Content or Assessment Data for processing by AI Features, you represent and warrant that you have obtained all rights, consents, and permissions necessary for such processing and that such processing will not infringe or violate any third-party rights. You may not use AI Features in any manner prohibited by the Ignis AI User Policy.

4. Changes to These Terms

We may update or revise these Terms at any time. Updated Terms are effective immediately when posted. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

5. Changes to the Platform

We may modify, suspend, discontinue, or remove any part of the Platform at any time without notice. Ignis is not liable if any part of the Platform becomes unavailable.

6. Account Registration & User Responsibilities

Certain features require an account. By creating an account, you agree to:

provide accurate and complete information;
maintain the confidentiality of your login credentials; and
accept responsibility for all activities under your account.

If you use a corporate account, you are responsible for all activity of users created under that account.

You must notify Ignis immediately of any suspected unauthorized access. To the extent permitted by law, Ignis is not liable for losses arising from unauthorized access resulting from your failure to secure your credentials.

6. User Content & Assessment Data

6.1 Definitions

“User Content” includes all information, all information, materials, audio, video, text, images, and any other content you chose to submit, such as, but not limited to, registration details, assessment responses, recorded inputs, uploaded files, messages, and feedback.

“Assessment Data” includes skills profiles, behavioral outputs, predictive insights, or AI-generated analysis derived from your responses.

6.2 License to Ignis

By submitting User Content or completing assessments, you grant Ignis a worldwide, royalty-free, transferable, sublicensable, perpetual license to:

store, process, reproduce, modify, analyze, and use User Content;
generate, use, and display Assessment Data;
share Assessment Data with the employer or institution that invited you;
train, improve and validate Ignis AI models;
create anonymized or aggregated datasets for analytics, benchmarking, and research.

Ignis do not sell your personal assessment responses.

These rights explicitly include processing by AI Features. You represent and warrant that you have secured all necessary rights, permissions, and consents required for Ignis to process User Content using AI Features, and that such processing does not violate any third-party rights.

6.3 Ownership

You retain ownership of your raw User Content.

Ignis owns all generated insights, algorithms, analysis, and derivative data.

6.4 Sharing with Employers or Institutions

If you are invited by an organization, you authorize Ignis to share your Assessment Data with that organization.

Ignis is not involved in or responsible for:

hiring, admission, placement, or advancement decisions;
how organizations interpret or use Assessment Data;
verifying the identity or legitimacy of Recruiting Organizations.

7. Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms.

You agree not to use the Services or cause to permit the Platform to be used:

for any unlawful, fraudulent, harmful, or discriminatory purpose;
to interfere with, damage, or disrupt the Platform or other users’ access;
to collect or track personal information of others without consent;
for any commercial purpose, including any direct marketing, contests or pyramid schemes, nor to use the Platform or the Services to participate in or cause others to participate in sending chain letters, junk e-mail, spam, duplicative or unsolicited messages, advertising or promotional material;
to copy and/or take screenshots, make notes, use for free or publish any material and content of this Platform in any other media;
to sell, sub-license and/or otherwise commercialize any Platform material or content displayed at the website or in the Platform;
to publicly perform and/or show any Platform material;
to upload or transmit viruses, malware, bots, or harmful code;
to attempt to circumvent security features or gain unauthorized access;
to reverse engineer, decompile, or copy the Platform or Services;
to use automated tools or AI assistants to complete assessments unless expressly permitted;
to use the Platform to send spam, solicitations, or unauthorized commercial communications;
to manipulate or attempt to manipulate assessment results;
to violate any applicable laws, regulations, or third-party rights; or
otherwise attempt to interfere with the proper working of the Platform.

Ignis may suspend or terminate access if you violate this section.

8. Intellectual Property Rights

Except for your User Content, all intellectual property rights in the Platform, including software, algorithms, scoring mechanisms, AI models, interfaces, content, and designs, belong to Ignis, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to these Terms, Ignis grants you a non-exclusive, non-transferable, limited right to access and use the Platform and those Services for which an account has been established and approved. The Platform does not transfer ownership of any intellectual property rights to you.

You may not reproduce, copy, sell, sublicense, publish, or commercially exploit any part of the Platform or its content. No other right, title, or interest in the Platform or the Services is granted to you.

9. Privacy

Ignis processes personal information in accordance with its Privacy Policy. We collect, use and disclose such personal information in accordance with our privacy policy and you agree to be bound by our privacy policy (as may be updated from time to time) as part of this Agreement.

Your information may be transferred to jurisdictions outside your home location. By using the Platform, you consent to such transfers.

10. Geographic Restrictions

Ignis is based in Massachusetts, USA. Access to the Platform may not be legal in certain jurisdictions. Users accessing from other locations, including outside the Unit6ed States, do so voluntarily and are responsible for compliance with local laws.

11. Term

These Terms commence on the date that you first use, or otherwise register for, the Services (which includes the first time you visit our website located at https://www.ignisai.ai/), and will continue in full effect until your account is cancelled and you cease using the Services.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ignis, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, losses, judgments, awards, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your use of the Platform or Services, including any assessments, insights, analytics, or other services provided through the Platform;
Your User Content, including any claim that your submissions infringe, violate, or misappropriate the rights of any third party;
Your failure to comply with these Terms, including any breach of your representations, warranties, or obligations;
Your interactions with third parties, including employers, institutions, or candidates, and any decisions, actions, or outcomes arising from or related to Platform-generated assessments, insights, or reports;
Any misuse of the Platform, including attempts to circumvent assessment protocols, manipulate results, or use outputs for purposes not expressly permitted under these Terms.
Your violation of any applicable law, rule, or regulation, including employment, privacy, or data protection laws;

Ignis reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Ignis AI in asserting any available defenses. Your indemnification obligations will survive your use of the Platform and termination of these Terms.

13. Disclaimer of Warranties

To the fullest extent permitted by law, Ignis makes no representations or warranties, regarding the Platform or the Services (including, without limitation, implied warranties of merchantability or merchantable quality and/or fitness for a particular purpose), and each of the Platform and the Services are provided “AS IS” and “AS AVAILABLE.”

Ignis does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses.

14. Limitation of Liability

To the fullest extent permitted by law, Ignis and its affiliates are not liable for:

Indirect, incidental, consequential, exemplary, or punitive damages.
Loss of profits, data, goodwill, opportunities, or business.
Decisions made by employers, recruiters, or third parties.
Any reliance on assessment results or insights.

Ignis’s total liability will not exceed the fees paid (if any) in the six (6) months preceding the date of the event giving rise to the claim.

If you are dissatisfied with the Services or the Platform, your sole and exclusive remedy is the discontinuation of your use of the Platform or Services. In no event will we be liable to you for indirect, punitive, incidental, special, consequential or exemplary damages, including damages for loss of profits, goodwill or data.

15. Non-Endorsement & Release

Ignis does not endorse or verify user-generated content or actions of by users of the Services, or any information, opinion, recommendation or advice expressed therein and you understand that you must evaluate and bear all risks associated with the use thereof. You hereby release and forever discharge us from any and all actions, causes of actions, claims, damages and liabilities that you may incur as a result of other users of the Services.

16. Assignment

Neither party may assign these Terms, without the other party’s consent. However, Ignis may assign these Terms at any time to an affiliate or to an acquirer of all or substantially all of our business or assets.

17. Survival

Those provisions that expressly, or by their nature are intended to, survive termination, shall survive any termination or expiration of these Terms.

18. Notices

All notices to be given under this Agreement: (i) if to us, will be sent by email to info@ignisai.com; and (ii) if to you, will be sent by email to the email address that you provided to us when you registered for the Services (or any other email address should you have updated your account to reflect such other email address.)

19. Waiver & Severability

Failure to enforce any provision is not a waiver.
If any provision is unenforceable, the remaining provisions remain in effect.

20. Governing Law & Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.

Each of the parties hereto irrevocably submits to the jurisdiction of the courts of Massachusetts located in the USA.

21. Entire Agreement

These Terms and applicable policies constitute the entire agreement between you and Ignis regarding the Platform and supersede all prior agreements.
